Agreement to these Terms
These Terms of Service are a binding agreement between you and Verbaform. They govern your access to tryverbaform.com, the Verbaform macOS software, beta programs, accounts, optional cloud features, and related services.
By downloading, installing, accessing, purchasing, or using Verbaform, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service. If you use Verbaform for an organization, you represent that you can bind that organization, and “you” includes it.
Eligibility
You must be at least 18 years old or the age of legal majority where you live, able to enter a binding contract, and legally permitted to use the service. You may not use Verbaform if applicable law prohibits it or if we previously suspended you for violating these Terms.
What Verbaform provides
Verbaform is programmable dictation software for macOS. It can transcribe speech, apply spoken commands, insert text into other applications, transform selected text, maintain local sessions and reusable language, and connect to optional third-party speech and AI providers.
The local product and cloud offerings may have different requirements, limits, prices, and availability. Features may depend on macOS permissions, Apple Silicon, compatible third-party apps, an internet connection, provider availability, and account or license status.
Beta and preview software
Some or all of Verbaform may be labeled beta, preview, early access, evaluation, or experimental. Beta software may be incomplete, change without notice, contain errors, lose compatibility, or be unavailable. Do not rely on it as the sole copy of important text, as an emergency service, or for a use where an error could cause personal injury or material loss.
Back up important information and review text before sending, publishing, or acting on it. We may set capacity limits, change access, reset test credits, or end a beta program at any time.
Accounts and credentials
You are responsible for the accuracy of account information, activity under your account, and security of your Mac, email account, provider API keys, license key, and authentication credentials. Do not share access in a way that defeats plan limits or transfer a personal license unless we permit it.
Tell us promptly at support@tryverbaform.com if you suspect unauthorized use. We may require verification before restoring access or responding to an account request.
Software license
Subject to these Terms and any plan conditions, Verbaform grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the software on compatible devices you own or control for your internal personal or business purposes.
You may not copy, rent, lease, sell, sublicense, distribute, reverse engineer, decompile, bypass technical restrictions, remove proprietary notices, or create derivative works from Verbaform, except to the extent a restriction is prohibited by law or an included open-source license permits it. Open-source components remain governed by their own licenses.
Your content
You retain ownership of text, audio, templates, variables, macros, and other content you provide or create. You grant Verbaform a limited license to process that content only as needed to provide, secure, support, and improve the service consistent with the Privacy Policy and your choices.
You are responsible for having the rights and permissions needed for content you process, including speech or text belonging to another person. You are also responsible for the accuracy, legality, and consequences of output you accept or use.
Verbaform does not claim ownership of your provider-backed output. Third-party provider terms or law may affect your rights in that output. Similar or identical output may be generated for others.
Cloud features, AI, and BYOK
Local recognition and deterministic commands are designed to work on your Mac. If you select a cloud speech model, the current utterance is sent to the named speech provider. If you request a provider-backed AI command or rewrite, your instruction and the approved text scope are sent to the selected provider. You authorize those transfers when you activate the feature.
AI and speech providers can return inaccurate, incomplete, offensive, or unexpected results. The preview, scope, and undo controls reduce risk but do not replace your review. You must confirm that output is appropriate before relying on it.
If you use your own provider key, you contract directly with that provider and must follow its terms, usage policy, pricing, and data practices. Verbaform is not responsible for provider charges, key compromise outside our control, provider suspensions, or changes to third-party services.
Do not send regulated, highly sensitive, or confidential information to a cloud provider unless you have confirmed that the route, plan, agreements, and settings are suitable for it. Verbaform does not represent that standard cloud routes are HIPAA-compliant or zero-retention.
Acceptable use
You may not use Verbaform to:
- violate law, sanctions, export controls, or another person’s rights;
- record, intercept, impersonate, harass, exploit, defraud, or surveil someone unlawfully;
- process content you have no right to use or disclose;
- create or distribute malware, credentials theft, abusive automation, or deceptive content;
- probe, disrupt, overload, circumvent, or gain unauthorized access to the service or another system;
- bypass license, credit, security, usage, or access controls;
- resell or make the service available as a service bureau without written permission; or
- use a third-party provider in violation of its applicable policy.
We may investigate suspected abuse and limit or suspend access when reasonably necessary to protect users, providers, Verbaform, or the public.
Plans, subscriptions, and credits
Prices, billing periods, included features, credit grants, usage rates, and taxes are shown at purchase or in the product. If a subscription renews automatically, the checkout terms will state the renewal period and how to cancel. The merchant of record named at checkout handles payment collection, applicable taxes, chargebacks, and payment-method data under its terms.
Managed cloud actions may consume credits. Credits are a limited, revocable contractual right to use eligible features. They are not money, property, stored value, or a transferable currency. Credits may expire, reset, or vary by plan as disclosed when granted. They have no cash value except where law requires otherwise.
You may cancel a subscription through the purchase provider or the method identified at checkout. Cancellation normally stops the next renewal and does not erase access already paid for. Refunds, cooling-off rights, and exceptions are governed by the checkout terms and applicable law. Nothing in these Terms limits a mandatory consumer right.
Updates and third-party applications
We may release updates that fix security issues, change features, update models, or maintain compatibility. Some updates may be required for cloud or account features. You are responsible for using a supported macOS version and maintaining reasonable device security.
Verbaform can interact with third-party applications through macOS accessibility, clipboard, keyboard, and cursor mechanisms. Those applications are not controlled by Verbaform. Their changes can affect insertion, selection reading, shortcuts, or compatibility. You remain responsible for your use of each target application.
Verbaform ownership and feedback
Verbaform and its licensors own the software, site, design, marks, documentation, and related technology, excluding your content and open-source components. No right is granted except the limited license stated in these Terms.
If you send ideas, suggestions, or product feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate it without restriction or compensation. This does not give us a license to use transcript content merely because it appears in a support report.
Privacy
Our Privacy Policy explains what stays on your Mac, what optional features send over the network, what Verbaform retains, which providers may process information, and the controls available to you. It is incorporated into these Terms.
Suspension and termination
You may stop using the service at any time. You can sign out, remove provider keys, delete local sessions, cancel paid renewal, and request account deletion as described in the Privacy Policy.
We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, abuse a provider, or if we discontinue the service. When reasonable, we will provide notice and an opportunity to fix the issue. Immediate action may be necessary for fraud, security, illegal conduct, or harm.
Sections that by their nature should survive termination remain in effect, including ownership, payment obligations, disclaimers, liability limits, dispute terms, and licenses needed to complete wind-down or legal obligations.
Disclaimers
To the maximum extent permitted by law, Verbaform is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and uninterrupted or error-free operation.
We do not warrant that speech recognition, commands, AI output, insertion, cloud availability, or compatibility will always be correct. Verbaform is a productivity tool, not legal, medical, financial, safety, or emergency advice. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
Limitation of liability
To the maximum extent permitted by law, Verbaform and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or service interruption, arising from or related to the service.
To the maximum extent permitted by law, our total liability for all claims relating to the service will not exceed the greater of the amount you paid to Verbaform for the service during the 12 months before the event giving rise to the claim or 100 US dollars.
These limitations do not apply where law forbids them, including liability that cannot be limited for fraud, willful misconduct, or certain consumer, personal-injury, or statutory rights.
Business-user indemnity
If you use Verbaform on behalf of a business, you will defend and indemnify Verbaform and its personnel from third-party claims, losses, and reasonable costs arising from your unlawful content, material breach of these Terms, or infringement of another person’s rights. This section does not apply to individual consumers where prohibited by law.
Law and disputes
Before filing a formal claim, please email support@tryverbaform.com with a description of the issue and requested resolution. We will try in good faith to resolve it informally.
These Terms are governed by the laws applicable where Verbaform is established, without applying conflict-of-law rules. Mandatory protections of the country or state where you live remain available. A dispute may be brought in a court that has jurisdiction under applicable law. These Terms do not require arbitration or waive a right to participate in a class action.
General terms
You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. If any provision is unenforceable, it will be narrowed to the minimum extent necessary and the remaining provisions will continue.
Our failure to enforce a provision is not a waiver. Headings are for convenience. These Terms, the Privacy Policy, checkout disclosures, and any plan-specific terms form the entire agreement about the service and replace prior discussions about that subject. If checkout or plan terms conflict with these Terms, the more specific terms control for that purchase.
Changes to the service or Terms
We may change the service and these Terms. The current version will be posted with a revised date. If a change materially reduces your rights or adds a material obligation, we will provide notice when required. Continued use after the effective date means you accept the revised Terms. If you do not agree, stop using the service and cancel future renewal.
